1. About these terms
These Terms of Service set out the rules for accessing and using the Zektrx website, demo process, customer onboarding, paid plans, support services and software platform. By using the website, requesting a demo, creating an account, accepting an invitation, subscribing to a plan or using the platform, you agree to these terms and any separate written agreement that applies to your organisation.
2. About Zektrx
Zektrx is a business software platform for trade, fabrication, contractor and operational teams. It is designed to help customers manage compliance workflows (RAMS, risk, COSHH, permits), documentation, planning, stock/materials, commercial workflows, people records and audit-ready evidence in one connected platform.
3. Business use only
Zektrx is intended for business and professional use, not personal consumer use. If you use Zektrx on behalf of a company, partnership, public body, charity or other organisation, you confirm that you have authority to bind that organisation to these terms. The customer organisation is responsible for all activity carried out by its authorised users.
4. Website use
You may use this website to learn about Zektrx, view platform information, request pricing, book a demo, read legal information or contact us. You must not misuse the website, interfere with its operation, scrape it excessively, attempt to bypass security, copy protected materials unlawfully, submit false information or use it for fraudulent, harmful or unlawful activity.
5. Demo requests, trials and enquiries
When you submit a demo request, trial request or enquiry, you are responsible for providing accurate information. A demo, trial, sales discussion or onboarding call does not create a binding contract, guarantee availability, reserve pricing, grant permanent access or confirm any specific feature unless this is expressly agreed in writing by Zektrx.
6. Account registration and workspace access
Customer access to the Zektrx app may be provided through a secure workspace, such as app.zektrx.com, or another authorised login method. Users must keep login details secure, use strong passwords, protect devices, avoid sharing accounts and notify Zektrx or their workspace administrator if they suspect unauthorised access. Customers are responsible for inviting, removing and managing users and for ensuring each user has appropriate permissions.
7. Roles, permissions and administrator responsibility
The platform may include workspace roles, permission levels, owner, admin, manager, supervisor, operative, subcontractor or client viewer access and module-specific controls. Customer administrators are responsible for setting these correctly, reviewing access regularly and removing users who no longer require access. Zektrx is not responsible for losses caused by customer administrators granting unsuitable access or failing to remove users.
8. Customer data and customer responsibility
Customers are responsible for the accuracy, quality, legality, relevance and completeness of all data, documents, files and records uploaded, created, generated, stored or shared in Zektrx. This may include compliance files, RAMS, O&M records, employee records, subcontractor documents, training records, asset information, certificates, photos, quotations, invoices, messages, approvals and business records. Customers must ensure they have the right to use, store and share all content they place in the platform.
9. Compliance, safety and professional judgement
Zektrx may provide templates, workflows, checklists, prompts, registers, dashboards, reminders, risk tools, compliance guidance and document generation. These tools support business administration and compliance management, but they do not replace competent professional judgement, legal advice, health and safety advice, engineering review, accounting advice, tax advice, certification advice or site-specific assessment. Customers remain responsible for checking all documents before use and for complying with all laws, regulations, contracts, standards and site requirements.
10. RAMS, O&M and health and safety documents
RAMS, risk assessments, method statements, O&M manuals, permits, toolbox talks, incident records, audit outputs and related documents must be reviewed, approved and adapted by competent people before being relied on. Zektrx does not guarantee that generated or stored documents will be legally sufficient, accepted by a client, accepted by a principal contractor, accepted by an insurer, suitable for every site or compliant with every applicable requirement.
11. AI-assisted features
Zektrx may include AI-assisted drafting, summaries, recommendations, risk prompts, action suggestions, template improvements and workflow automation. AI outputs may be incomplete, inaccurate, outdated or unsuitable for a specific project, site or legal requirement. Users must review AI-assisted outputs before relying on them. Zektrx is not responsible for decisions made without suitable human review, professional verification or customer approval.
12. Financial, accounting and tax features
Where Zektrx includes quotation, invoice, expense, mileage, wage, reconciliation, cashflow, tax, savings, year-end or accountancy-related tools, these are provided for organisation and workflow support only. Zektrx is not an accountant, tax adviser, payroll bureau, financial adviser or regulated financial service. Customers remain responsible for checking figures, applying the correct tax treatment, meeting filing obligations, keeping statutory records and obtaining professional advice where needed.
13. Stock, job planning and operational records
Where Zektrx includes stock, purchasing, job planner, diary, asset, equipment, stores, reservations or material movement features, these are intended to support customer workflows. Customers are responsible for checking stock levels, job allocations, purchase requirements, site readiness, evidence records and operational decisions. Zektrx does not guarantee that stock records, planner information or operational data will always be complete, current or error-free.
14. Messaging, approvals and attachments
If messaging, approvals, comments, read receipts, file attachments or notification features are enabled, users must use them lawfully and professionally. Customers are responsible for message content, uploaded files, recipient selection, internal communication policies and any employment or HR consequences arising from messages or approvals sent through the platform.
15. Location, attendance and clock-in features
If clock-in, attendance, site visit or GPS-enabled features are enabled, customers are responsible for ensuring those features are lawful, proportionate, communicated to workers and supported by suitable workplace policies and lawful bases. Location data may be approximate, unavailable, affected by device settings or inaccurate. Zektrx does not guarantee location accuracy or suitability for disciplinary, payroll, contractual or legal decisions without customer verification.
16. Integrations and third-party services
Zektrx may connect with or rely on third-party services for hosting, authentication, storage, payments, email, analytics, monitoring, AI, maps, calendars, accounting, document handling or other integrations. Third-party services may have their own terms, privacy policies, limits, outages and charges. Zektrx is not responsible for third-party service failures, changes, data handling or availability except where required by law or a separate written agreement.
17. Payments, subscriptions and pay-as-you-go services
If paid plans, subscriptions, add-ons or pay-as-you-go services are used, the applicable pricing, billing cycle, included features, limits, renewal terms and cancellation rules will be shown at checkout, in the platform or in a separate written agreement. Customers must keep billing details accurate and pay all amounts due. Access may be limited, suspended or downgraded if payment fails, a subscription expires, usage limits are exceeded or a plan is cancelled.
18. Taxes and charges
Prices may be shown exclusive or inclusive of VAT or other taxes depending on the context. Customers are responsible for any applicable taxes, duties, bank charges, currency conversion costs or payment provider fees unless stated otherwise. Zektrx may correct pricing errors, invoice errors or tax calculation errors where permitted by law.
19. Cancellations, renewals and refunds
Subscription cancellation, renewal and refund rights depend on the plan, contract, checkout terms and applicable law. Unless a separate agreement says otherwise, fees already paid are not automatically refundable simply because a customer stops using the service before the end of a billing period. Zektrx may choose to offer credits or refunds at its discretion where appropriate, but doing so once does not create a general right to future refunds.
20. Acceptable use
You must not use Zektrx to upload, create, send or store unlawful, harmful, abusive, defamatory, discriminatory, misleading, infringing, malicious, sexually explicit, exploitative or fraudulent content. You must not use the platform to harass others, distribute malware, send spam, breach confidentiality, violate privacy rights, infringe intellectual property rights or carry out activity that could damage Zektrx, other customers or third parties.
21. Security restrictions
You must not attempt to gain unauthorised access to Zektrx, another workspace, another user's account, source code, databases, hosting infrastructure or connected services. You must not probe, scan, overload, reverse engineer, bypass security, interfere with monitoring, exploit vulnerabilities or use automated tools in a way that could harm performance, security or availability. Suspected vulnerabilities should be reported responsibly.
22. Intellectual property owned by Zektrx
The Zektrx name, logos, website design, software interface, platform structure, code, workflows, written content, visual assets, templates, layouts, branding and documentation belong to Zektrx or its licensors unless otherwise stated. Customers receive a limited, non-exclusive, non-transferable right to use the service during their authorised access period. No ownership rights are transferred to customers unless expressly agreed in writing.
23. Customer content ownership
Customers keep ownership of their own business records and content uploaded to or created in their workspace, subject to any rights belonging to third parties. Customers grant Zektrx the limited rights needed to host, store, back up, display, process, transmit, support, secure and operate that content as part of providing the service.
24. Feedback and product suggestions
If users provide ideas, suggestions, feedback, feature requests or improvement comments, Zektrx may use them to improve the website, platform, services and documentation without owing payment or attribution, unless a separate written agreement says otherwise. Customers should not provide confidential third-party ideas unless they have permission to do so.
25. Confidentiality
Each party should protect confidential information received from the other and use it only for the purpose of using, providing, supporting or improving Zektrx, or as otherwise permitted by law or contract. Confidential information does not include information that is public, already known without restriction, independently developed or lawfully received from another source. Zektrx may disclose information where required by law, court order, regulator or lawful authority.
26. Privacy and data protection
Use of Zektrx is also governed by the Privacy Policy and, where applicable, a Data Processing Agreement. Customers are responsible for ensuring they have a lawful basis for personal data they add to the platform, informing individuals where required, setting suitable permissions and complying with their own data protection obligations. Zektrx will process personal data as described in the Privacy Policy and any applicable written agreement.
27. Availability, maintenance and changes
Zektrx aims to provide a reliable service, but availability may be affected by maintenance, updates, hosting providers, internet issues, third-party services, security incidents, customer systems or technical faults. Features may be improved, changed, added, restricted, replaced or removed as the platform develops. Zektrx will aim to avoid unnecessary disruption but does not guarantee uninterrupted or error-free service unless a separate service level agreement applies.
28. Backups, exports and data loss
Zektrx may use backup, recovery and retention processes to support service resilience, but customers remain responsible for keeping appropriate external copies of important exported reports, statutory records, signed documents, issued RAMS, certificates, accounts records and business-critical files. Zektrx is not responsible for avoidable losses caused by a customer failing to export, retain or back up records that they are legally or commercially required to keep.
29. Suspension and termination
Zektrx may suspend or terminate access where a customer fails to pay, breaches these terms, creates security risk, misuses the platform, infringes rights, breaches law, causes harm to the service or where continued access would expose Zektrx or others to legal or operational risk. Customers may stop using the service or cancel according to the applicable plan or agreement. Termination does not remove payment obligations already incurred or legal rights that have already arisen.
30. Data access after termination
After cancellation or termination, customer access to the platform and workspace data may be restricted, downgraded or removed. Where technically available and legally permitted, customers should export required data before cancellation or within any agreed access period. Zektrx may delete or archive inactive workspace data after applicable retention periods, backup cycles, contract terms or legal requirements.
31. Disclaimers
Zektrx is provided on an as-is and as-available basis except where a separate written agreement states otherwise. We do not guarantee that the platform will meet every customer requirement, prevent every compliance failure, identify every risk, remove the need for professional advice, satisfy every client or regulator, or be free from bugs, interruptions or errors.
32. Limitation of liability
To the maximum extent permitted by law, Zektrx will not be liable for indirect, consequential, special or punitive losses, loss of profit, loss of revenue, loss of business, loss of goodwill, loss of anticipated savings, loss of data, loss caused by inaccurate customer content, compliance failures caused by customer decisions, or losses resulting from use of the platform without appropriate professional review. Nothing in these terms limits liability where it cannot legally be limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
33. Customer indemnity
Where permitted by law, customers agree to protect Zektrx from claims, losses, damages, costs and expenses arising from customer content, unlawful use of the platform, breach of these terms, breach of third-party rights, misuse by authorised users, failure to obtain required permissions, or decisions made using Zektrx without appropriate review. This does not apply to the extent a claim is caused by Zektrx's own unlawful conduct or breach of a written agreement.
34. Force majeure
Zektrx will not be responsible for delay or failure caused by events outside reasonable control, including internet failures, hosting outages, supplier failures, cyber incidents, power failures, industrial disputes, war, terrorism, natural disasters, pandemics, government action, legal restrictions or failures of third-party platforms.
35. Contract priority
If a customer has a separate signed agreement, order form, data processing agreement or service level agreement with Zektrx, that document may override these website terms where there is a direct conflict, but only for the customer and services covered by that document. These terms continue to apply where they are not inconsistent with the separate agreement.
36. Assignment and subcontracting
Customers must not transfer their account, contract or rights to another organisation without written permission from Zektrx. Zektrx may use subcontractors and service providers to operate, host, secure, support, improve and deliver the platform, provided this is done consistently with applicable agreements and data protection requirements.
37. Governing law and disputes
Unless a separate written agreement says otherwise, these terms are governed by the laws of Scotland. The Scottish courts will have jurisdiction over disputes, subject to any mandatory rights or alternative dispute terms that apply by law. Before starting formal proceedings, the parties should try to resolve disputes in good faith through direct communication where practical.
38. Updates to these terms
Zektrx may update these terms as the website, software, modules, pricing, integrations, hosting setup, security controls or legal requirements change. The latest version will be published on this page with an updated date. Material changes may also be communicated through the website, platform or email where appropriate.
39. Legal review note
These terms are written to describe the intended operation of Zektrx and to include protections commonly expected for business SaaS platforms. They should be reviewed by a qualified solicitor before being relied on for enterprise contracts, regulated customers, public sector work, high-value deals, international customers or high-risk processing. No website terms can remove every legal risk, so the platform, contracts, privacy documents and operating practices should remain aligned as Zektrx develops.
